Anthropic IPO Could Hand Amazon a $98 Billion Windfall
Anthropic’s IPO could turn Amazon’s $18 billion investment into a $97.9 billion holding, plus at least $110 billion in AWS spending over the next 10 years.
Summary
Anthropic’s IPO could deliver billions to Menlo Ventures, Sequoia, Sound Ventures and Spark Capital, although none meets the 5% threshold for its principal stockholders table. That is unusual for lead venture investors, which often retain double-digit stakes. At Anthropic’s $965 billion private valuation, 1% approaches $10 billion, making Menlo’s roughly $14 billion position only about 1.5%. Amazon is positioned for the largest windfall after investing about $18 billion, including $8 billion in convertible notes from 2023 through 2025 and $10 billion of nonvoting preferred stock through two $5 billion investments in the second quarter of 2026.
At June 30, Amazon’s notes had $6.2 billion of outstanding principal, Anthropic’s entire debt load, but Amazon valued them at $97.9 billion. Their rising value generated a noncash $72.4 billion charge for Anthropic in the first half of 2026. The notes can convert into as many as 1.84 billion shares, subject to a waivable cap of 12% of partially diluted shares, with excess notes converting later. Anthropic also committed at least $110 billion to AWS over 10 years. Google held about 14% in early 2025, invested another $10 billion in April 2026 and may now own roughly 5.6%, according to PitchBook analyst Harrison Rolfes, while securing at least $114 billion of Anthropic cloud commitments through 2033. Anthropic warns that cloud partners supplying its computing infrastructure also develop competing AI models, creating potential conflicts.
Positives
- Amazon valued its $6.2 billion of outstanding Anthropic note principal at $97.9 billion as of June 30.
- Anthropic committed to spend at least $110 billion on AWS over the next 10 years.
- Google secured at least $114 billion of Anthropic cloud commitments through 2033.
- Menlo Ventures’ roughly 1.5% stake is worth about $14 billion at Anthropic’s $965 billion private valuation.
- The $72.4 billion first-half 2026 accounting charge was noncash, so no money left Anthropic.
Risks & concerns
- Anthropic recorded a $72.4 billion first-half 2026 charge as the fair value of convertible obligations increased.
- Amazon’s 12% partially diluted ownership cap may delay conversion of some notes into later quarters.
- Google’s estimated stake fell from about 14% in early 2025 to roughly 5.6% after subsequent funding rounds.
- Anthropic depends on cloud providers that also develop rival AI models and may have conflicting interests.
- No venture firm owns the 5% required for Anthropic’s principal stockholders table, limiting traditional VC influence.
